Text in italics has been added for our purposes including content from our previous rules of incorporation. Plain text is from the Companies Office's Constitution Builder. The help text in boxes is usually that provided by the Constitution Builder to explain requirements. Items in bold are defined terms.
Common seal (optional section)
Common seals are optional under the Incorporated Societies Act 2022. If your society decides to have a common seal, include this rule to provide clarity around how the seal is stored and used.
- SCANZ will have a common seal that must be kept in the custody of a committee member or corporate officer as the committee may decide from time to time.
- The common seal may be affixed to any document:
- by resolution of the committee, and must be countersigned by 2 officers or Any officers? Or a restricted set, e.g., committee or executive officers? (SC)
- by such other means as the committee may resolve from time to time.
Bylaws (optional section)
The Act expressly empowers societies to make bylaws if they choose. This rule is often found in society constitutions and enables a society's committee to deal with issues that do not need to be in a society constitution.
- The committee from time to time may make and amend bylaws, and policies for the conduct and control of SCANZ activities and codes of conduct applicable to members, but no such bylaws, policies or codes of conduct applicable to members shall be inconsistent with this constitution, the Act, regulations made under the Act, or any other legislation.
